Should any provision of this License Agreement be held invalid or unenforceable, you and ObjectFusion, L.L.C. agree that it be modified by the court to conform as closely as possible to its original intent without being invalid or unenforceable, and that in such form it be enforced. Invalidity or unenforceability of a provision herein shall not affect the validity or enforceability of any other provision herein. Changes or modifications to this License Agreement must be in writing and executed by you and a duly authorized officer of ObjectFusion, L.L.C. Nonenforcement by ObjectFusion, L.L.C. of any term of this or similar agreements with you or any licensee shall not be construed to be a waiver by ObjectFusion, L.L.C. of any right or obligation whatsoever. By installing, copying, running, or otherwise using this software product, you agree to be bound by the terms of this License Agreement. If you do not agree to the terms of this License Agreement, you may not install or use this software product in any way. If you do not agree to this License Agreement you may return this software product to your place of acquisition for a full refund. All ObjectFusion, L.L.C. software products, including this software product, are licensed, not sold. ObjectFusion, L.L.C. continues to own this copy of the software product, but ObjectFusion, L.L.C. grants to you as an individual or entity and you accept a personal, nonexclusive license to use the number of copies of the software product agreed to in your distribution agreement for this software product. This software product is only to be used for purposes defined by ObjectFusion, L.L.C. and no others. You may run the software product on one computer (or such other number of computers as indicated in your distribution agreement for this software product), and you may make one copy for backup or archival purposes. You may not copy the whole or any part of the software product for purposes of disassembly or reverse engineering, nor to duplicate the program structure. These purposes are subject to change by ObjectFusion, L.L.C. without notice. ObjectFusion, L.L.C. makes absolutely no guarantee that loss of data will not occur when using this product. The only warranty provided by ObjectFusion, L.L.C. is defined below, under the heading “LIMITED WARRANTY”. You may permanently transfer all of your rights under this License Agreement, provided you transfer all of the software product’s component parts, media, printed materials, any upgrades, and this License Agreement, and you retain no copies. The recipient of the transfer must agree to all of the terms of this License Agreement. If this software product is an upgrade, any transfer must include all prior versions of the software product. Without prejudice to any other rights or remedies, ObjectFusion, L.L.C. may terminate this License Agreement if you fail to comply with its terms and conditions. In such event, you must destroy all copies of the software product and all of its component parts and documentation. If this software product is labeled as an upgrade, you must be properly licensed to use a product identified by ObjectFusion, L.L.C. as being eligible for the upgrade in order to be eligible for the license granted by this License Agreement for this software product. Once upgraded to this software product, it may be used and transferred only as part of that single product package and may not be separated for use on more than one computer (or such other number of computers as indicated in your distribution agreement for this software product). All title and copyrights in and to this software product (including but not limited to any images, photographs, animations, video, audio, music, text, and special controls in this software product), the accompanying printed materials, and any copies of this software product are owned by ObjectFusion, L.L.C. This software product is protected by copyright laws and international treaty provisions. Therefore, you must treat it like any other copyrighted material except that you may install the software product on one computer (or such other number of computers as indicated in your distribution agreement for this software product), provided you keep the original solely for backup or archival purposes. You may not copy the printed materials accompanying this software product. You may receive this software product in more than one medium. Regardless of the type or size of medium you receive, you may use only one medium that is appropriate for your single computer. You may not use or install the other medium (or media) on another computer. You may not loan, rent, lease, or otherwise transfer the other medium (or media) to another user, except as part of the permanent transfer (as provided above) of your license to use this software product. You agree that neither you nor your customers intend to or will, directly or indirectly, export or transmit this software product or related documentation and technical data (or any component or part thereof), or process, or service that incorporates the software product or any component thereof to any individual or country outside of the United States. LIMITED WARRANTY: ObjectFusion, L.L.C. warrants that this software product will perform in accordance with the accompanying written materials for a period of one (1) year from the date of receipt. THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ANY OTHER WARRANTY, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR USE, AND FITNESS FOR A PARTICULAR PURPOSE. ObjectFusion, L.L.C.’s entire liability and your exclusive remedy shall be, at ObjectFusion, L.L.C.’s option, either (a) return of the price paid or (b) repair or replacement of this software product which is returned to ObjectFusion, L.L.C. with a copy of your receipt. This Limited Warranty is void if failure of this software product has resulted from accident, abuse, or misapplication, or if you have violated any term of this License Agreement. Any replacement software product media will be warranted for the remainder of the original warranty period. Outside the United States, neither these remedies nor any product support services offered by ObjectFusion, L.L.C. are available.
